According to the requirements of the "Letter of the Cooperation Department of the Ministry of Commerce on Doing a Good Job in the Filing (Approval) Report of Foreign Investment in 2024" (Shanghe Investment Letter [2024] No. 57), the relevant matters are hereby notified as follows:

1. Scope of enterprises that need to fill in the semi-annual report: As of December 31, 2023, all domestic investment entities that have obtained the "Enterprise Overseas Investment Certificate" or "Enterprise Overseas Institution Certificate". Domestic investment entities whose overseas business activities have been suspended and cancelled with the approval of the competent commerce department may not participate. The deadline for filling in the semi-annual report of enterprises is March 31, 2024.

According to the Ministry of Commerce's "Interim Measures for Filing (Approval) Reports on Foreign Investment" and "Regulations for the Implementation of Filing (Approval) Reports on Foreign Investment", domestic investment entities fulfill their foreign investment reporting obligations in accordance with the principle of "reporting for all filing (approval) ". The semi-annual reporting work is different from the statistical work of foreign direct investment. All overseas enterprises or overseas institutions that have obtained the filing (approval) certificate need to fill in the report.

Third, please local municipal commercial departments conscientiously do a good job in the organization and filing of the foreign investment filing (approval) report of the investment entities in their respective regions, effectively grasp the progress of the work, strengthen communication with the reporting entities, and do a good job in the organization of the filing of the information, especially focusing on the filing of the three types of enterprises in China with a filing amount of more than 100 million US dollars, manufacturing and overseas economic and trade cooperation zones.

IV. For enterprises that fail to fulfill the filing (approval) procedures and information reporting obligations as required, their actions will be included in the bad credit records in the field of foreign investment cooperation and publicized on the website of the Ministry of Commerce. For units that fail to complete the semi-annual report submission on time, the acceptance of their overseas investment enterprises' filing approval, capital increase, change, cancellation and other business will be suspended. At the same time, the results of the semi-annual report submission will be directly linked to the application for foreign economic and trade development special project funds, as one of the necessary conditions for the application.

To fill in the semi-annual report, you need to log in to the unified platform (enterprise side) (https://ecomp.mofcom.gov.cn/loginCorp.html) of the business system of the Ministry of Commerce, enter the application of "Foreign Investment Cooperation Information Service", first modify and improve the enterprise information (including basic information, contact person, phone number and email address, etc.) according to the path of "Foreign Direct Investment > Domestic Investor Management-Operation", and then open the filling page according to the path of "Business > Filing (Approval) Report > Semi-Annual Report-Filling" and complete the online filling of the semi-annual report.
